These Terms and Conditions ("Terms") govern your use of the IMB360 platform and services. By accessing or using our services, you agree to be bound by these Terms.

Terms & Conditions

1. Definitions and Interpretation

"Platform" refers to the IMB360 website, mobile applications, and related services.

"User" means any individual or entity using our services, including Influencers and Brands.

"Influencer" refers to content creators who offer marketing services through our platform.

"Brand" refers to businesses or individuals seeking influencer marketing services.

"Campaign" means any marketing project or collaboration facilitated through our platform.

2. Acceptance of Terms

By creating an account or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not use our services.

You must be at least 18 years old or have parental consent to use our services.

3. Service Description

IMB360 provides a digital marketplace connecting influencers with brands for marketing collaborations.

Our services include campaign management, payment processing, communication tools, and performance analytics.

We facilitate transactions but are not a party to agreements between Users.

4. User Registration and Accounts

  • Users must provide accurate, complete, and current information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must notify us immediately of any unauthorized use of your account.
  • One person or entity may maintain only one account unless explicitly authorized.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

5. Payment Gateway Terms & Conditions

Payment Processing

  • All payments are processed through secure, PCI-DSS compliant payment gateways including Stripe, PayPal, and Razorpay.
  • We do not store credit card information on our servers. All payment data is encrypted and handled by certified payment processors.
  • Payment processing fees may apply and will be clearly disclosed before transaction completion.
  • Supported payment methods include major credit/debit cards, digital wallets, and bank transfers.

Payment Terms

  • Brands must pay campaign fees in advance before campaign activation.
  • Influencer payments are released after campaign completion and verification, typically within 7-14 business days.
  • Platform fees are deducted from transactions as disclosed in our fee schedule.
  • All prices are in USD unless otherwise specified.
  • Taxes and duties are the responsibility of the respective parties.

Refunds and Disputes

  • Refunds are subject to our refund policy and campaign-specific terms.
  • Disputed transactions will be reviewed by our team within 14 business days.
  • Chargebacks may result in account suspension pending investigation.
  • Users agree to attempt resolution through our dispute process before initiating external proceedings.

6. Data Protection & Privacy

  • We comply with GDPR, CCPA, and applicable data protection laws.
  • Personal data is collected, processed, and stored in accordance with our Privacy Policy.
  • Users have rights to access, correct, delete, or export their personal data.
  • We implement appropriate technical and organizational measures to protect personal data.
  • Data breaches will be reported to authorities and affected users as required by law.
  • We do not sell personal data to third parties without explicit consent.

7. Intellectual Property Rights

  • Users retain ownership of their original content but grant us a license to use it for platform operations.
  • Users must not infringe on third-party intellectual property rights.
  • We respect intellectual property rights and respond to valid DMCA takedown notices.
  • Our platform, trademarks, and proprietary technology remain our exclusive property.
  • Users may not reverse engineer, copy, or create derivative works of our platform.

8. Prohibited Activities

  • Fraudulent activities, including fake followers, engagement manipulation, or false information.
  • Harassment, discrimination, or abusive behavior toward other users.
  • Spamming, unsolicited communications, or promotional activities outside campaign scope.
  • Circumventing platform fees or conducting transactions outside our system.
  • Uploading malicious software, viruses, or harmful code.
  • Violating applicable laws, regulations, or third-party rights.
  • Creating multiple accounts to manipulate platform features or ratings.

9. Platform Security

  • We implement SSL encryption, firewalls, and secure servers to protect user data.
  • Two-factor authentication is available for enhanced account security.
  • Regular security audits and vulnerability assessments are conducted.
  • Users must report security vulnerabilities or suspicious activities immediately.
  • We monitor for fraudulent activities and may suspend accounts pending investigation.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We provide services "as is" without warranties of any kind.
  • We are not liable for indirect, incidental, or consequential damages.
  • Our total liability is limited to the amount paid by you in the 12 months preceding the claim.
  • We are not responsible for user-generated content or third-party actions.
  • Users assume responsibility for their interactions and transactions with other users.

11. Indemnification

Users agree to indemnify and hold harmless IMB360, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Violation of these Terms or applicable laws
  • Infringement of third-party rights
  • User-generated content or campaign materials
  • Interactions with other users or third parties

12. Dispute Resolution

Internal Resolution: Users must first attempt to resolve disputes through our internal dispute resolution process.

Mediation: If internal resolution fails, disputes may be submitted to binding mediation.

Arbitration: Any remaining disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules.

13. Termination

  • Users are responsible for obtaining necessary licenses and permissions for their content.

16. Force Majeure

We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including natural disasters, government actions, pandemics, or technical failures of third-party services.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
